2.1 Cancellation Before Program Start

2.2 Cancellation After Program Start
Once a workshop or CRC has commenced, fees are non-refundable.
Failure to attend does not qualify for refund.

3️⃣ Payment Policy
All mentorship sessions are paid in advance.

Any derivative work created by the Client based on CX25WW proprietary material shall automatically vest in CX25WW unless otherwise agreed in writing.
6. Non-Solicitation Policy
During engagement and for 24 months thereafter, the Client shall not directly or indirectly:
Solicit
Hire
Engage
Contract with
Induce to leave
any employee, contractor, consultant, or associate of CX25WW.
Breach may result in liquidated damages equivalent to 12 months of the individual’s engagement value.
7. Limited Non-Compete Protection
For 24 months post-engagement, the Client shall not:
Replicate CX25WW proprietary consulting frameworks for resale
Offer substantially similar consulting products derived from CX25WW intellectual property
This clause does not restrict the Client from operating its QuickBooks practice.
8. No Guarantee of Results
CX25WW does not guarantee:
Certification pass rates
Hiring success
Business performance
Regulatory outcomes
Technology tool functionality
Revenue generation
Outcomes depend on Client execution and external variables.
9. Limitation of Liability
To the fullest extent permitted by law, CX25WW shall not be liable for:
Loss of profit
Business interruption
Certification failure
Regulatory penalties
Employee misconduct
Indirect or consequential damages
Total liability shall not exceed fees paid for the relevant engagement.
10. Indemnification
Client agrees to indemnify CX25WW against claims arising from:
Client implementation decisions
Employee actions
Regulatory non-compliance
Data governance failures
Misuse of provided materials
Third-party vendor failures
11. Data Protection (DPDP Act Aligned)
Where personal data is processed:
Client acts as Data Fiduciary
CX25WW acts as Data Processor (where applicable)
CX25WW shall:
Process data only within defined scope
Implement reasonable safeguards
Not commercially exploit personal data
Client remains responsible for lawful data collection, consent, and compliance under the Digital Personal Data Protection Act, 2023.
CX25WW shall not be liable for penalties arising from Client’s data governance failures.
12. Confidentiality
All confidential information exchanged shall be protected.
CX25WW shall not be liable for breaches resulting from:
Client-side security failure
Cyber incidents beyond reasonable control
Third-party technology vulnerabilities
13. Arbitration-First Dispute Resolution
All disputes shall follow:
Good faith negotiation (15 days)
Mandatory binding arbitration
Arbitration shall:
Be conducted in Noida, Uttar Pradesh
Be governed by the Arbitration and Conciliation Act, 1996
Be conducted in English
Be decided by a sole arbitrator
Arbitral award shall be final and binding.
Court proceedings may only be initiated for enforcement.
14. International Clients
For Clients located outside India:
Governing law: India
Seat of arbitration: Noida, Uttar Pradesh
Exclusive enforcement jurisdiction: Courts of Noida, Uttar Pradesh
Objection based on foreign domicile is waived
15. Force Majeure
CX25WW shall not be liable for delays caused by:
Government actions
Internet failures
Natural disasters
Pandemic
Geopolitical events
16. Termination
CX25WW reserves the right to terminate engagement without refund if:
Payment obligations are breached
Intellectual property misuse occurs
Misconduct or reputational risk arises
Scope abuse or unreasonable demands occur
Clauses relating to IP, Non-Solicitation, Non-Compete, Liability, Indemnity, and Arbitration survive termination.
17. Governing Law & Jurisdiction
This Policy is governed by the laws of India.
Subject to arbitration, courts located in Noida, Uttar Pradesh shall have exclusive jurisdiction.
18. Acceptance
Engagement, payment, or acceptance of services constitutes binding acceptance of this Policy.
